The terms governing use of our website and consulting services.
1. Definitions
In these Terms & Conditions, the following words have the meanings given below:
- "Agreement" means these Terms & Conditions, together with any engagement letter or service order agreed between you and us.
- "We / Us / Our" means Lanternpath, a business operating from 168 Robinson Road, #34-05, Capital Tower, Singapore 068912.
- "You / User" means any individual or organisation that accesses our website or engages our services.
- "Services" means the business analytics consulting services we provide, including the Reporting Stack Review, KPI Definition Workshop, and Analytics Sounding-Board Retainer, as described on our website and in any applicable engagement letter.
- "Content" means all text, data, materials, and deliverables produced or shared in connection with our Services.
- "Website" means our website at lanternp.pro and all pages associated with it.
2. Acceptance of Terms
By accessing our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms & Conditions. If you do not agree, please do not use our Website or engage our Services.
You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are accepting these terms on behalf of an organisation, you confirm that you are authorised to do so.
3. Services
We provide business analytics consulting Services to organisations and professionals. Our current service offerings are:
- Reporting Stack Review — a structured three-week review of an organisation's existing reporting stack, resulting in a written summary of the current state and options for tightening the leadership reporting set. Priced at S$640.
- KPI Definition Workshop — a one-day facilitated workshop for a leadership team of up to ten people, resulting in written KPI definitions with data sources and review cadences. Priced at S$170.
- Analytics Sounding-Board Retainer — a monthly arrangement providing two scheduled calls, written notes after each call, and discreet review of dashboards or reports shared by the client. Priced at S$430 per month.
Services are provided primarily in Singapore. We may engage clients located elsewhere by mutual agreement. Service descriptions on our Website are for general information. The precise scope of each engagement is set out in the relevant engagement letter or service order.
4. User Responsibilities
When using our Website or Services, you agree to:
- Provide accurate information when making enquiries or entering into an engagement.
- Engage with us in good faith and within the scope of the agreed service.
- Not use our Website or Services for any unlawful purpose or in a manner that could harm Lanternpath, our other clients, or third parties.
- Not attempt to copy, reproduce, or redistribute our Website content or deliverables without our written consent.
- Not interfere with the normal operation of our Website.
5. Intellectual Property
All content on our Website — including text, structure, design, and graphics — is owned by or licensed to Lanternpath and is protected under applicable intellectual property laws. You may view and print Website content for personal reference only.
Deliverables produced during an engagement — such as written reviews, KPI definitions, and call notes — are produced for the client's internal use. Upon full payment, you receive a non-exclusive, non-transferable licence to use those deliverables for the internal business purposes for which they were commissioned. Reproduction, resale, or public distribution of deliverables requires our prior written consent.
Where a client shares data, documents, or materials with us during an engagement, the client retains ownership of those materials. We use them solely to deliver the agreed service.
6. Payment Terms
Fees are stated in Singapore Dollars (S$) and are as described in the relevant service description and engagement letter. Payment terms are as follows:
- An invoice will be issued at the start of each engagement or billing period.
- Payment is due within 14 calendar days of invoice date, unless otherwise agreed in writing.
- For monthly retainer arrangements, payment is due at the start of each calendar month.
- We accept payment by bank transfer. Payment details will be provided on the invoice.
- If payment is not received by the due date, we reserve the right to pause work until the account is settled.
Fees are not refundable once work has commenced, except where we are unable to deliver the agreed service through our own fault. Any unused portion of a retainer month is not refunded if the retainer is cancelled mid-month.
7. Engagement Terms
Each engagement is governed by these Terms & Conditions and the specific service description. The scope of each engagement is agreed in writing before work commences. Changes to scope requested by the client after commencement may affect fees and timelines; we will discuss any adjustments with you before proceeding.
Timelines for deliverables are estimates and depend on the client providing access to relevant information in good time. We will notify you promptly if any delay is anticipated.
The Reporting Stack Review and KPI Definition Workshop are one-time, project-based engagements. The Analytics Sounding-Board Retainer is a month-to-month arrangement with no minimum term, cancellable by either party with 30 days' written notice.
8. Confidentiality
We treat all information shared with us in the course of an engagement as confidential. We will not disclose client information to third parties except where required by law or with your prior written consent. This obligation continues after the engagement ends.
You agree to treat any methodologies, frameworks, or proprietary approaches we share during an engagement as confidential, and not to disclose these to third parties without our consent.
9. Disclaimers
Our Services are provided for informational and advisory purposes. We do not provide legal, financial, accounting, or regulatory advice. Nothing in our deliverables should be construed as a recommendation to take any particular course of action without independent professional assessment.
Our Website and Services are provided "as available." We do not warrant that our Website will be available at all times or free from error. We make reasonable efforts to keep information on our Website current, but we do not warrant its completeness or accuracy at any given moment.
Outcomes from our advisory services depend on factors outside our control, including how recommendations are implemented and the broader operating environment of the client's organisation. We do not warrant or represent that any specific business results will follow from engaging our Services.
10. Limitation of Liability
To the fullest extent permitted by Singapore law, our total liability to you in connection with any engagement shall not exceed the fees paid by you for the relevant service in the three months preceding the event giving rise to the claim.
We shall not be liable for any indirect, consequential, or incidental loss, including loss of profit, loss of data, or loss of business opportunity, arising from the use of our Website or Services, even if we have been advised of the possibility of such loss.
We are not liable for delays or failures to perform resulting from circumstances beyond our reasonable control, including utility disruptions, force majeure events, or third-party service failures.
11. Indemnification
You agree to indemnify and hold harmless Lanternpath and its personnel from any claims, costs, damages, or expenses (including reasonable legal costs) arising from your breach of these Terms & Conditions, your use of our Website or Services in violation of applicable law, or your infringement of any third-party rights.
12. Termination
Either party may terminate an engagement by providing written notice as specified in the engagement letter or, for the retainer, 30 days' written notice. We reserve the right to suspend or terminate access to our Services with immediate effect if you breach these Terms & Conditions or engage in conduct harmful to Lanternpath or our clients.
On termination, clauses relating to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution survive and remain in effect.
13. Dispute Resolution
These Terms & Conditions are governed by and construed in accordance with the laws of Singapore. In the event of a dispute, the parties agree to first attempt resolution by good-faith discussion within 30 days of one party notifying the other in writing of the dispute.
If the dispute is not resolved by discussion, it shall be referred to mediation administered by the Singapore Mediation Centre before either party commences legal proceedings. The courts of Singapore shall have exclusive jurisdiction over any dispute that proceeds to litigation.
14. General Provisions
These Terms & Conditions, together with any applicable engagement letter, constitute the entire agreement between you and Lanternpath with respect to the subject matter herein. If any provision is found to be invalid or unenforceable, the remaining provisions continue in full force. Our failure to enforce any right does not constitute a waiver of that right. You may not assign your rights under these Terms & Conditions without our prior written consent. Notices under these Terms may be sent by email to the address provided by each party at the start of an engagement.
15. Changes to Terms
We may update these Terms & Conditions from time to time. When we do, we will revise the "last updated" date at the top of this page. For ongoing engagements, we will provide notice of material changes. Continued use of our Website or Services after changes take effect constitutes acceptance of the updated terms.
